President’s Message - Final stage of transformation into the new Trade Union

Up to present, over 1,000 members have applied to join the new Trade Union - Hong Kong Doctors Union(香港西醫工會) which was successfully registered with the Registry of Trade Unions on 13.4.2002. A copy of the Certificate of Registration of our Trade Union is enclosed for your information. If you have not applied to join the Trade Union, please be reminded that the law disallows automatic transfer of membership from HKDU Ltd. to the Trade Union. Please help us by applying which is very simple. Kindly complete and return the enclosed simplified Application Form for Membership to HKDU now.  Since all your details can be obtained from the HKDU Ltd., you only need to agree and we will do the rest for you.

After the return of the HKDU Council in the First General Meeting of the Trade Union on 30.5.2002, the transformation of HKDU will come to the final stage. According to the advice of the Registry of Trade Unions, our Legal Adviser and Auditor, two Extraordinary General Meetings (EGM) will be held by HKDU (Trade Union) and the HKDU Ltd. respectively within this year. The EGM of HKDU (Trade Union) which will be held in June or July this year is to pass a Special Resolution “To take over all the assets and liabilities of HKDU Ltd.”. This EGM is just a formality to uphold the most important object of the Trade Union. 

As regards the EGM of HKDU Ltd., the purpose is to pass a Special Resolution “To dissolve the HKDU Ltd. by way of members' voluntary winding up and to transfer all the assets and liabilities of the HKDU Ltd. to the new trade union named HKDU”. As the financial year of HKDU Ltd. will end on 30.6.2002 and it takes a few months for the auditor to complete the audit work and to prepare the necessary documents for the winding up, the EGM of HKDU Ltd. is therefore scheduled to be held in September or October 2002. Because the passing of the above two Special Resolutions will facilitate the continuation of all the business and services of HKDU in future, your support is essential and very much appreciated.

The HKDU (Trade Union) will take up all the functions of HKDU Ltd. as from 1st June 2002.   Please be assured that HKDU as a trade union will continue to act as the CME Programme Provider, CME Programme Administrator and CME Programme Accreditor of the Medical Council of Hong Kong. The Medical Protection Plan of HKDU will continue to provide insurance cover on professional indemnity for those members who are policyholders. All the other activities including the CME symposia, social activities will be organized for members as usual.

As regards the winding up of HKDU Ltd., we have to comply with the following requirements of the Companies Ordinance: -

  1. When a company has passed a resolution for voluntary winding up, it shall, within 14 days after the passing of the resolution, give notice of the resolution by advertisement in the Gazette.
  2. A voluntary winding up shall be deemed to commence at the time of the passing of the resolution for voluntary winding up.
  3. The company in general meeting shall appoint one or more liquidators for the purpose of winding up the affairs and distributing the assets of the company.  On the appointment of a liquidator, all the powers of the directors shall cease.

We will appoint our Auditor, M/S Chung & Yeung, to handle all affairs concerning the winding up of HKDU Ltd. in accordance with the Companies Ordinance. 

Meanwhile, we hope all members of HKDU Ltd. will become members of the new HKDU (Trade Union) because HKDU Ltd. will be dissolved soon.  Just apply and Regular Members will become Ordinary Members of the Trade Union while Life Members will become Life Members of the Trade Union.  Thank you and best regards,

會長通訊 — 蛻變成工會最後階段

香港西醫工會已於2002年4月13日成功於職工會登記局登記了。直到目前為止已有超過一千名會員加入這新的工會。現附上我們工會的註冊證書的副本作為參考。倘若你仍未加入工會，提醒你法律上不容許自動把你的會籍撥入工會中，所以懇請大家幫個忙立即加入，手續簡便。從速填妥交回附上的簡化了的香港西醫工會入會申請表便可。由於閣下的資料均可從香港西醫聯會有限公司獲取，只要你贊同，我們便可以替你辦好手續。

當第一屆幹事會於2002年5月30日的香港西醫工會會員大會中選出時，蛻變成為工會便進入最後的階段。根據職工會登記局、義務法律顧問及核數師的建議，我們今年內將分別召開香港西醫工會與香港西醫聯會有限公司兩個特別會員大會。為著貫徹新工會能夠執行她最重要的宗旨 － 就是接替香港西醫聯會的所有職能，我們將在2002年6月或7月舉行香港西醫工會特別會員大會，去通過特別動議「接管香港西醫聯會有限公司的全部資產與負債」。

至於香港西醫聯會有限公司的特別會員大會，其目標則是通過特別決議「去解散香港西醫聯會有限公司並把她全部資產與負債交給新成立的香港西醫工會」。因為香港西醫聯會有限公司報稅年度將於2002年6月30日完結，而核數師需要數月才完成核算工作和準備好解散所需的文件，所以香港西醫聯會的特別會員大會將於2002年9月或10月舉行。以上兩個動議的通過會促使香港西醫工會將來所有的業務運作和服務能順利繼續進行，而必需得到你們的支持，僅在此向大家作深切致謝。

從2002年6月1日起香港西醫工會將會接替香港西醫聯會所有的職能。請大家放心，HKDU作為工會將會繼續履行香港醫務委員會所制定的延續醫學進修證書計劃主辦機構、行政機構和評分機構的工作。香港西醫工會的醫生專業保障計劃將繼續供給投保者專業保障。所有其他的活動包括CME研討會和康樂活動均會如常舉行。

至於有關香港西醫聯會的解散，我們要遵照公司法例如下：－

  1. 當公司已通過自動清盤決議時，須於決議通過後14天內，藉在憲報刊登公告而發出有關該決議的通知。
  2. 自動清盤須當作在自動清盤決議通過之時開始。
  3. 公司在大會上須委任一名或多於一名清盤人，以結束公司事務及派發公司資產。清盤人一經委任，董事的一切權力即告終止。

我們將會授命我們的核數師鍾觀勝楊禮護會計師事務所全權辦理所有關於香港西醫聯會遵循公司法例下的解散事宜。

因為聯會行將解散，現階段我們希望全體聯會會員均成為新成立的香港西醫工會會員。袛要申請則普通會員便成為工會普通會員，而永久會員便成為工會的永久會員。感謝各位，更祝大家百尺竿頭更進一步！
